By creating an account, accessing, or using TradingBot ("the Service," "Platform," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and our Risk Disclosure Statement (collectively, the "Agreement"). If you do not agree to all terms, you must not use the Service.
Your continued use of the Platform following any modification to these Terms constitutes acceptance of the revised Terms. It is your responsibility to review this document periodically.
TradingBot is an automated algorithmic trading software platform that uses artificial intelligence and rules-based logic to analyze market data and execute trades through third-party broker APIs on behalf of users who expressly configure and authorize such execution.
Nothing on this Platform constitutes a recommendation, solicitation, or offer to buy or sell any financial instrument. All trading decisions are yours alone.

By using the Service you represent and warrant that you meet all eligibility requirements. We reserve the right to suspend or terminate accounts where eligibility cannot be confirmed.
You agree to provide accurate, current, and complete registration information. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
You must notify us immediately at the contact address below if you suspect unauthorized access. We are not liable for any loss arising from unauthorized use of your account.
You may not share your account with others, create multiple accounts to circumvent plan limits, or use automated systems to create or access accounts.
API Key Security: You are solely responsible for the security of the broker API keys you connect to the Platform. Use read/write keys with only the minimum permissions required. We store your API keys in encrypted form and never display them after initial entry, but we cannot guarantee security against all threat vectors. You assume all risk related to the security of your connected broker credentials.
The Service is offered under tiered subscription plans ("Trial," "Basic," "Pro," and others) with features and pricing as described on the Platform at time of purchase. Prices are in USD and subject to change with notice.
New accounts receive a free trial period. No credit card is required during the trial. Live trading with real money is disabled during the trial. At trial expiration, the account is downgraded and live trading access requires an active paid subscription.
Paid subscriptions are billed in advance on a monthly or annual cycle via Stripe. By providing payment information you authorize recurring charges. All sales are final unless otherwise required by applicable law.
You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period. No pro-rated refunds are issued for partial periods unless required by law.
Subscription fees are generally non-refundable. Exceptions may be made at our sole discretion for technical failures attributable solely to us that prevent Service access for more than 72 consecutive hours. Trading losses are never refundable under any circumstances.
The Platform connects to third-party brokers (including but not limited to Alpaca Securities LLC and Kraken (Payward, Inc.)) via their published APIs using credentials you provide. You acknowledge that:
The Platform uses artificial intelligence, including large language models (LLMs), to analyze incoming signals and generate trade decisions. You explicitly acknowledge and accept that:
You agree to monitor your bot and account regularly. You are responsible for disabling the bot, closing positions, and protecting your capital if you believe the system is malfunctioning.

Violation of this policy may result in immediate account suspension without refund and, where appropriate, referral to law enforcement.
All content, software, algorithms, user interfaces, trademarks, and branding on the Platform are owned by or licensed to TradingBot and are protected by applicable intellectual property laws. These Terms do not grant you any ownership interest in the Platform.
You retain ownership of data you input into the Platform (trade configurations, strategies you create). By using the Platform you grant us a limited, non-exclusive license to process and store that data to provide the Service.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES INCLUDING BUT NOT LIMITED TO:
No oral or written representation by us or our agents creates a warranty not expressly set forth in these Terms.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL TRADINGBOT, ITS OWNERS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR:
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability is limited to the greatest extent permitted by law.
You agree to defend, indemnify, and hold harmless TradingBot and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your trading activity, including trades executed through the Platform; (d) your violation of any applicable law or third-party rights.
We may suspend or terminate your account at any time for any reason, including but not limited to: violation of these Terms, non-payment, fraudulent activity, or inactivity. We will make reasonable efforts to provide notice except where immediate action is required to protect the Platform or other users.
Upon termination: your right to access the Service ceases immediately, your data may be retained for up to 90 days before deletion, any subscription fees paid are non-refundable (subject to legal requirements), and open positions at your broker are not automatically closed — you must manage your own positions.
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
Arbitration: Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. You waive any right to participate in a class action lawsuit or class-wide arbitration.
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm pending arbitration.
We reserve the right to modify these Terms at any time. We will provide at least 14 days' notice of material changes via email or in-app notification. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service and cancel your subscription.
